PowerHost AI Terms of Service

PowerHost AI is business software operated by Superhost AI LLC, doing business as Rate Snoop. By creating an account or using PowerHost, you agree to these Terms. You must be at least 18 years old. If you act for a company or property operation, you confirm that you have authority to agree on its behalf.

If you do not agree, do not create an account or use PowerHost.

PowerHost uses AI to help manage properties, communications, tasks, procedures, workforce scheduling, reports, and images. It can also prepare or carry out actions in services you authorize.

We may change, replace, suspend, or discontinue features. Connected services may change or have outages that affect PowerHost.

Features labeled alpha, beta, preview, or pre-release may be incomplete, contain errors, change substantially, or be removed. Independently verify important outputs and actions, and keep appropriate records when relying on these features.

Keep your account information accurate and your sign-in details secure. Tell us promptly if you suspect unauthorized use. You are responsible for activity under your account and for giving team members appropriate access.

Authorized members of a location can see its shared chats, property information, contacts, approvals, and activity. You must have permission to invite users and provide any employee, vendor, owner, guest, property, reservation, message, or other data you add or connect.

Connecting property-management, communications, pricing, and other services authorizes PowerHost to access and exchange information as needed to provide the service and follow your instructions. You must remain authorized to use those accounts and data.

For SMS and WhatsApp, use authorized senders, identify yourself, obtain and retain required recipient consent, and honor opt-outs. Follow applicable messaging laws and Twilio, carrier, and WhatsApp rules, including registration and template requirements. You are responsible for provider messaging fees.

If you request managed messaging, you authorize PowerHost to arrange number setup and registration with messaging providers. We confirm pricing before activation. Number management, transfer, and cancellation depend on the provider and your agreed setup terms. Canceling in PowerHost may require provider follow-up to release a number or stop charges; fees already incurred remain payable.

AI can make mistakes, leave out information, or give unsuitable answers. PowerHost may suggest, draft, schedule, or carry out actions. Some require approval; others run automatically under your settings. Approval controls do not replace your responsibility to check important settings, recipients, dates, amounts, and results.

You remain responsible for your property-management decisions, communications, legal compliance, and actions taken at your direction. PowerHost does not provide legal, tax, accounting, brokerage, insurance, employment, or other professional advice.

You will not use PowerHost to:

• break the law or violate another person's rights;
• provide data, connect services, or contact people without the required authority or consent;
• provide Social Security numbers, full payment-card or bank account details, medical records, government ID images, or similarly regulated data unless we expressly allow it in writing;
• send spam, harassment, deceptive messages, malware, or harmful content;
• use PowerHost as the only or deciding basis for tenant screening, housing eligibility, employment, credit, insurance, or another legally significant decision about a person;
• publish AI-generated or edited content that materially misrepresents a property, person, message, or event;
• bypass access controls, probe vulnerabilities, disrupt the service, or access another customer's information;
• reverse engineer or scrape the service, except where the law prohibits this restriction; or
• copy PowerHost's software or systematically extract its output to build or train a competing model or service without our written permission. This does not restrict your use of your own data, workflows, or generated output for your internal business purposes.

You keep your rights in data you provide or connect. You allow PowerHost to process it as needed to run, secure, and support the service and follow your instructions, including through contracted AI providers as described in the Privacy Policy. This includes relevant personal information in your requests, workspace records, connected services, and Automations you enable.

Our Privacy Policy explains how we handle personal information. You must give any required notices and obtain permission for personal information you ask us to process, including the AI processing described there. Provide only information needed for your use of the service.

When we process personal information on your behalf, you decide its purpose. We act as your service provider or processor where the law requires. A separately signed data processing agreement takes priority if it conflicts with these Terms.

Your plan, order, or other agreed pricing terms set your fees. You must pay applicable fees and taxes when due. Fees are non-refundable unless required by law or your written plan terms. We may change prices for future billing periods after reasonable notice.

Other providers have their own terms and privacy practices. We do not control and are not responsible for their data, decisions, outages, security, or delivery of messages or actions. You are responsible for reviewing and maintaining those accounts, settings, and permissions.

PowerHost and its licensors own the service, software, designs, documentation, and related intellectual property—not your data. You receive a limited, non-exclusive, non-transferable right to use the service for your internal business while your account is authorized.

We may use your feedback without restriction or payment, but will not identify you publicly without permission.

As between you and PowerHost, you may use your generated output for business purposes to the extent the law allows. Output may not be unique. This permission does not grant rights to anyone else's material that appears in it.

You may stop using PowerHost at any time, subject to your plan or order terms. We may suspend or end access for nonpayment, security risk, unlawful use, a material breach of these Terms, or to protect PowerHost, users, or others. Where practical, we will give notice and a chance to resolve the issue.

After access ends, we handle information under the Privacy Policy and applicable law. Terms that by their nature should continue—including ownership, payment, disclaimers, liability limits, indemnification, and disputes—remain in effect.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWERHOST IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ACCURATE AI OUTPUT, THIRD-PARTY DATA, OR ANY BUSINESS, REVENUE, OCCUPANCY, GUEST, OR OPERATIONAL RESULT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWERHOST AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID POWERHOST FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so these limits apply only to the extent permitted by law.

To the extent permitted by law, you will defend, indemnify, and hold harmless PowerHost and its affiliates from third-party claims, damages, liabilities, and reasonable legal fees arising from your breach of these Terms, unlawful use of the service, or claims that data you provide infringes or violates another person's rights. This obligation does not apply to the extent caused by PowerHost's negligence or willful misconduct.

We will promptly notify you of any claim, allow you to control its defense, and reasonably cooperate at your expense. You may not settle a claim in a way that imposes obligations on PowerHost or admits fault on our behalf without our written consent.

We may update these Terms and their effective date, with additional notice of material changes when required. We may require you to review and accept updated Terms before continuing. Otherwise, continuing to use PowerHost after the new Terms take effect means you accept them, to the extent the law allows.

North Carolina law governs these Terms, without regard to conflict of laws rules. State and federal courts located in Mecklenburg County, North Carolina have exclusive jurisdiction over disputes, and each party consents to those courts.

These Terms, any applicable order or plan terms, and the Privacy Policy are the entire agreement about the service and replace prior discussions on that subject. If one provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization or business transfer.
